1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Minaret Tech Ltd ("we", "us", "our", "Minaret") governing your access to and use of the Minaret mobile application ("App") and related services (collectively, the "Services").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the App.

These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Eligibility

You must be at least 13 years of age to create an account and use the Services. By creating an account, you represent and warrant that:

• You are at least 13 years old

• You have the legal capacity to enter into a binding contract

• All information you provide is accurate, current, and complete

• You will comply with all applicable laws and regulations when using the Services

Important for Minor Users (Ages 13-17): While you may create an account and purchase tickets through the App, you cannot attend events or enter venues that have age restrictions (e.g., 18+ or 21+ events). Minaret is not responsible if you are refused entry to an age-restricted event or venue, and refunds will not be provided in such circumstances.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe you do not meet these eligibility requirements.

3. Description of Services

Minaret is an event ticketing and discovery platform that connects users with event organisers. Our Services include:

• Event Discovery: Browse and discover events based on your location and preferences

• Ticket Purchasing: Purchase tickets for events listed by third-party organisers

• Event Management (for Organisers): Create, manage, and sell tickets for events

• Location-Based Recommendations: View events happening near you using location services

Important: Minaret is a Marketplace Platform Only

Minaret acts solely as an intermediary platform connecting users with event organisers. We do not organise, host, promote, or operate the events listed on the App. Event organisers are independent third parties responsible for creating event listings, setting ticket prices, managing event logistics, and delivering the events. We are not a party to the transaction between you and the event organiser.

4. User Accounts

4.1 Account Creation

To purchase tickets, you must create an account by providing accurate and complete information, including your name, email address, and phone number. You may browse events without creating an account.

4.2 Email Verification

You must verify your email address to complete account registration. We will send a verification link to the email address you provide.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password

• Not share your account credentials with others

• Immediately notify us of any unauthorised use of your account

• Take all reasonable steps to prevent unauthorised access

Minaret is not liable for any loss or damage arising from your failure to protect your account credentials.

4.4 Account Accuracy

You must keep your account information accurate and up to date. You may update your information at any time through your account settings.

5. Ticket Purchases and Payments

5.1 Purchasing Tickets

When you purchase tickets through the App:

• You are entering into a contract directly with the event organiser, not with Minaret

• Ticket prices are set solely by event organisers

• All ticket sales are final, subject to our refund policy (see Section 5.4)

• You may only purchase tickets for your own personal use

• Tickets cannot be resold, transferred, or offered for resale through the App

Only registered event organisers may sell tickets on the platform.

5.2 Service Fees and Pricing

Minaret charges a 10% service fee on all paid tickets, plus applicable payment processing fees (approximately 1.4%), which are added to the ticket price set by the event organiser.

Pricing Example:

• Event organiser sets ticket price: £10.00

• Minaret service fee (10%): £1.00

• Payment processing fee (1.4%): £0.14

• Total charged to user: £11.14

• Amount received by organiser: £10.00

All fees are clearly displayed during the checkout process before you complete your purchase. Prices are displayed in British Pounds (GBP) unless otherwise stated.

Free events do not incur service fees or payment processing fees.

5.3 Payment Processing

Payments are processed securely through our third-party payment processor, Mollie. By making a purchase, you agree to Mollie's terms and conditions. We do not store your complete payment card details on our servers.

You authorise us to charge the payment method you provide for the total amount displayed at checkout. You represent and warrant that you have the legal right to use the payment method provided.

5.4 Refunds and Cancellations

User-Initiated Refunds:

• You may request a refund at any time before the event begins

• After the event has begun, refund eligibility is determined by the event organiser's refund policy

Event Cancellations:

• If an event organiser cancels an event, you will receive a full refund (including service fees and payment processing fees)

• Refunds for cancelled events will be processed within 14 days of the cancellation

• Event organisers must notify Minaret of event cancellations by updating or cancelling their event listing

Age-Related Entry Refusal:

No refunds or chargebacks will be issued if you are refused entry to an age-restricted event or venue due to not meeting the minimum age requirement. It is your responsibility to verify age restrictions before purchasing tickets.

Refund Processing:

Approved refunds will be returned to the original payment method used for the purchase. Please allow 5-10 business days for the refund to appear in your account, depending on your bank or card issuer.

5.5 Organiser Payments

Event organisers receive payments from ticket sales according to their selected payout schedule (end of day, weekly, or monthly). Organisers receive the full ticket price they set, with no deductions for our service fees.

6. Event Organisers

6.1 Organiser Accounts

Any user may register as an event organiser and create event listings on the platform. By creating an event listing, you represent and warrant that:

• You have the legal right and authority to organise and host the event

• All event information you provide is accurate, complete, and not misleading

• You have obtained all necessary licenses, permits, permissions, and insurance required to host the event

• Your event complies with all applicable laws and regulations

• You will honour all ticket sales made through the platform

6.2 Event Listings

Event organisers are solely responsible for creating and managing their event listings, including:

• Event title, description, date, time, and location

• Ticket pricing and availability

• Age restrictions and entry requirements

• Event images and promotional content

• Refund and cancellation policies

Minaret does not verify the accuracy of event information, nor do we verify that organisers have obtained proper licenses or permissions. We rely on users to report fraudulent or misleading event listings.

6.3 Event Changes and Cancellations

Event organisers must immediately notify Minaret and ticket holders of any significant changes to event details (date, time, location, lineup, etc.) or event cancellations by updating or cancelling their event listing in the App.

Event organisers are solely responsible for event cancellations, changes, and issuing refunds as required. Minaret is not liable for any costs, losses, or damages resulting from event changes or cancellations.

6.4 Organiser Obligations to Ticket Holders

Event organisers are responsible for delivering the event as described in their listing, honouring all ticket sales, providing adequate venue safety and security, and complying with all applicable consumer protection laws.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Fraudulent Activity: Creating fake events, selling counterfeit tickets, using stolen payment methods, or engaging in any fraudulent transactions

• Unauthorised Ticket Resale: Reselling, transferring, or offering tickets for resale through the App or any other platform

• Multiple Accounts: Creating multiple accounts to circumvent restrictions, manipulate ticket availability, or engage in fraudulent activity

• Automated Access (Bots): Using bots, scripts, crawlers, or automated tools to access the App, purchase tickets, or scrape content

• Harassment or Abuse: Harassing, threatening, defaming, or abusing other users, event organisers, or Minaret staff

• Illegal Content: Posting or promoting illegal activities, hate speech, violence, or obscene content

• Security Violations: Attempting to hack, disable, or interfere with the App's security features, servers, or networks

• Impersonation: Impersonating another person, entity, or falsely representing your affiliation with any person or organisation

• Intellectual Property Infringement: Using copyrighted materials, trademarks, or other intellectual property without authorisation

• Spam or Unsolicited Communications: Sending spam, unsolicited advertisements, or promotional materials through the App

Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of tickets or funds, and potential legal action.

8. Account Suspension and Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at contact.minaret.app@gmail.com. Upon termination, you will lose access to your account and any outstanding tickets, subject to applicable refund policies.

8.2 Termination by Minaret

We reserve the right to suspend or terminate your account, refuse service, or cancel orders at our sole discretion, without notice, for any reason, including but not limited to:

• Violation of these Terms or our Privacy Policy

• Engaging in prohibited conduct (Section 7)

• Fraudulent, abusive, or illegal activity

• Providing false or misleading information

• Chargebacks or payment disputes

• Failure to meet eligibility requirements

• Disruption of the platform or harm to other users

Upon termination, you will lose access to your account, and we may retain or delete your information as described in our Privacy Policy. We are not liable for any losses resulting from account suspension or termination.

8.3 Effect of Termination

The following sections survive termination of these Terms: Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law and Disputes).

9. Intellectual Property

9.1 Minaret's Intellectual Property

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, software, and design (collectively, "Minaret Content"), are owned by Minaret Tech Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or exploit any Minaret Content without our express written permission. The Minaret name, logo, and all related trademarks are the property of Minaret Tech Ltd.

9.2 Event Organiser Content

Event organisers retain ownership of all event information, images, descriptions, and promotional materials they upload to the App ("Organiser Content"). By creating an event listing, organisers grant Minaret a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute Organiser Content for the purpose of operating the platform and promoting events.

9.3 Marketing Use of Content

Minaret reserves the right to use event photos, content, and listings for marketing, promotional, and advertising purposes. Event organisers and users may opt out of this marketing use by contacting us at contact.minaret.app@gmail.com.

9.4 User Content

At this time, users cannot post reviews, comments, or upload photos to the App. Should this functionality be added in the future, we will update these Terms accordingly.

10. Disclaimers and Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

Minaret makes no representations or warranties of any kind, express or implied, regarding:

• Availability and Reliability: We do not guarantee that the App will be available, uninterrupted, secure, or error-free at all times

• Accuracy of Information: We do not warrant the accuracy, completeness, or reliability of event information provided by third-party organisers

• Event Quality or Safety: We are not responsible for the quality, safety, legality, or delivery of events listed by organisers

• Fitness for Purpose: We do not warrant that the App will meet your specific requirements or expectations

Minaret is a marketplace platform that connects users with independent event organisers. We do not organise, host, verify, or endorse any events. Event organisers are solely responsible for their events, and we disclaim all liability for their actions or omissions.

We do not verify that organisers have obtained proper licenses, permits, or insurance. We rely on users to report fraudulent, misleading, or illegal event listings.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. You may have other rights that vary by jurisdiction.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINARET TECH LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities

• Personal injury, property damage, or emotional distress

• Event cancellations, postponements, or changes

• Refusal of entry to events or venues

• Actions or omissions of event organisers or other users

• Fraudulent, misleading, or inaccurate event listings

• Unauthorised access to your account or data

• Service interruptions, errors, or technical failures

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO MINARET IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR £100, WHICHEVER IS GREATER.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Minaret Tech Ltd, its directors, officers, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from or relating to:

• Your use or misuse of the App or Services

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property, privacy, or other rights

• Any content you submit or upload to the platform (for event organisers)

• Your attendance at or organisation of events

• Any disputes with other users or event organisers

This indemnification obligation survives termination of these Terms and your use of the Services.

13. Disputes Between Users and Organisers

Minaret is not a party to the contractual relationship between users and event organisers. If you have a dispute with an event organiser (e.g., entry refusal, event quality issues, refunds), you must resolve it directly with the organiser.

Reporting Issues:

If you believe an event organiser has engaged in fraudulent, misleading, or illegal activity, you may file a report by contacting us at contact.minaret.app@gmail.com with supporting evidence. We will review reports and may take action against organisers who violate these Terms, including account suspension or termination.

We encourage users to contact our support team before pursuing legal action or chargebacks. However, we do not require arbitration or mediation as a condition of using the Services.

We are not obligated to mediate disputes or provide refunds on behalf of event organisers, and we are not liable for any losses resulting from disputes between users and organisers.

14. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information, and your rights under the UK GDPR.

By using the App, you consent to the collection and use of your information as described in our Privacy Policy. Please review our Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

15.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts of England and Wales. You consent to the personal jurisdiction of such courts and waive any objection to venue.

15.3 Alternative Dispute Resolution

While we do not require arbitration or mediation as a mandatory condition, we encourage you to contact our support team at contact.minaret.app@gmail.com before initiating legal proceedings. Many disputes can be resolved quickly and informally through direct communication.

16. Changes to These Terms

We reserve the right to modify or update these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms

• Notify you via email or through a prominent notice in the App

Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App and may terminate your account.

We encourage you to review these Terms periodically to stay informed of any updates.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Minaret and supersede all prior agreements, understandings, or representations.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorised representative of Minaret.

17.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.

17.5 Third-Party Rights

These Terms do not confer any rights or benefits to third parties, except as expressly stated herein.

17.6 Force Majeure

Minaret shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or technical failures.

17.7 Headings

The headings in these Terms are for convenience only and do not affect their interpretation.

BY CREATING AN ACCOUNT AND USING THE MINARET APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. If you do not agree to these Terms, you must not access or use the App or Services.
